Terms and Conditions

Scope

(1) These General Terms and Conditions (GTC) apply to all contracts between Avolang Vermittlung UG (haftungsbeschränkt) (hereinafter “Avolang”) and entrepreneurs within the meaning of §14 BGB (German Civil Code) (hereinafter “Customer”).

(2) Deviating, conflicting or supplementary general terms and conditions of the Customer shall not become part of the contract unless Avolang expressly agrees to their validity in writing.

Subject Matter of the Contract

(1) Avolang provides data-driven analysis, AI and consulting services, in particular market, competition and price analyses based on public and other data sources, the development of data, AI and software solutions, and support with market research and strategic decision-making processes.

(2) The specific scope of services is set out in the individual contract or offer.

Conclusion of Contract

(1) Offers from Avolang are subject to change and non-binding.

(2) A contract is only concluded upon written confirmation by Avolang or upon commencement of the performance of services.

Obligations of the Customer

(1) The Customer undertakes to provide all information, documents and access required for the performance of the services in good time and in full.

(2) The Customer warrants that the data provided is free from third-party rights and does not violate any statutory provisions.

Remuneration and Terms of Payment

(1) The remuneration is based on the respective offer or contract.

(2) All prices are exclusive of statutory value added tax (VAT).

(3) Invoices are payable within 14 days without deduction, unless otherwise agreed.

Confidentiality and Data Protection

(1) Both parties undertake to treat as confidential all information obtained in the course of their collaboration.

(2) Avolang undertakes to process the Customer’s personal data exclusively within the framework of the statutory provisions.

(3) The Customer’s data will not be passed on or used for any other purposes (“third-party use”, German: Fremdnutzung).

Liability

(1) Avolang shall only be liable for damage resulting from intent or gross negligence.

(2) In the event of simple negligence, Avolang shall only be liable for damage resulting from the breach of material contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable damage typical for this type of contract.

(3) Liability for loss of profit, indirect damage or consequential damage is excluded.

Copyright and Rights of Use in Work Results

(1) All concepts, analyses, texts or other work results created in the course of the collaboration remain the intellectual property of Avolang.

(2) The Customer receives a simple (non-exclusive), non-transferable right to use the work results to the extent required for the contractually agreed purpose.

Final Provisions Relating to Contracts

(1) The law of the Federal Republic of Germany applies.

(2) To the extent permitted by law, the place of jurisdiction for all disputes arising from or in connection with the contract is Avolang’s registered office.

(3) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
